Terms of Service

These Terms of Service ("Terms") govern your use of ReconShift ("Service"), operated by ReconShift ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

ReconShift is a financial reconciliation tool that helps businesses match Stripe payment data against bank statements. The Service is provided on a subscription basis with a free tier and paid plans.

ReconShift is a productivity and data analysis tool. It is not a licensed financial advisor, accountant, or bank. Reconciliation results should be reviewed by a qualified professional for accounting and compliance purposes.

2. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at support@reconshift.com if you suspect unauthorised access.

You must be at least 18 years old to use the Service. By registering, you represent that you meet this requirement.

3. Subscription and Payment

Plans

ReconShift offers a Free plan and paid plans (Pro, Team). Paid plans are billed monthly in advance. Features available on each plan are described on the pricing page.

Billing

Payments are processed by Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring monthly basis until you cancel. All prices are in USD and exclude applicable taxes.

Cancellation

You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date. We do not offer refunds for partial periods.

Price changes

We may change subscription prices with 30 days' advance notice by email. Continued use after the price change takes effect constitutes acceptance of the new price.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Upload data you do not have the right to use or process
  • Attempt to reverse engineer, decompile, or extract the source code of the Service
  • Use the Service to process data on behalf of third parties without their consent
  • Attempt to circumvent rate limits, access controls, or security measures
  • Resell or sublicense access to the Service without written permission
  • Use automated scripts to scrape or extract data from the Service

We reserve the right to suspend or terminate accounts that violate these terms without notice.

5. Your Data

You retain ownership of all financial data you upload to or generate within the Service. By using the Service, you grant us a limited licence to process and store that data solely for the purpose of providing the Service to you.

We will never sell your data, use it to train AI models, or share it with third parties except as described in our Privacy Policy.

You are responsible for ensuring you have appropriate authorisation to upload and process any financial data you provide to the Service, including data from connected Stripe accounts.

6. Intellectual Property

The Service, including its code, design, trademarks, and content, is owned by ReconShift and protected by intellectual property laws. These Terms do not grant you any right to use our name, logo, or trademarks without prior written consent.

Feedback, suggestions, or ideas you submit about the Service may be used by us without restriction or compensation.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RECONCILIATION RESULTS WILL BE ACCURATE OR COMPLETE.

RECONSHIFT IS A PRODUCTIVITY TOOL AND DOES NOT PROVIDE FINANCIAL, ACCOUNTING, TAX, OR LEGAL ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS FOR SUCH MATTERS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECONSHIFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify and hold harmless ReconShift and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

Either party may terminate these Terms at any time. You may terminate by deleting your account. We may terminate or suspend your account for violation of these Terms, non-payment, or if required by law.

Upon termination, your right to use the Service ceases immediately. Sections 5–9 of these Terms survive termination.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

12. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
